Terms and Conditions (“Terms”)

1. Overview
At Aspen Technology Labs, Inc. (ATL), we strive to provide the best possible service to our clients. If you are
unsatisfied with our product/s, we are here to help. Please read our policies carefully to understand your rights and
obligations.

2. Data delivery policy
This Data Delivery Policy outlines the terms and conditions for the delivery of data by ATL to Client. By entering into
their contract with ATL, Client agrees to the following:

2.1. Data Delivery Formats
ATL will deliver data to the Client in any required format, including, but not limited to, XML, JSON, CSV, via API, to
FTP server or to Amazon S3 Bucket. Should the Client require a change in the data delivery format due to changes in
their site or platform, ATL will endeavor to accommodate such requests. Additional fees may apply for changes in the
data delivery format.

2.2. Data Delivery Frequency
By default, data is delivered and updated daily. However, the frequency of data delivery may be increased based on the
contractual agreement between ATL and the Client. The specific terms regarding delivery frequency will be outlined in
the individual Order Form.

2.3. Timely Service Provision
ATL agrees to provide data delivery services in a timely manner. We strive to ensure that data is delivered promptly and
in accordance with the agreed-upon schedule.

2.4. Scheduled Downtime and Notice
ATL will provide reasonable notice to the Client of all material scheduled downtime. Efforts will be made to schedule
maintenance during off-peak hours to minimize disruption. In the event of unscheduled downtime or service interruptions,
ATL will notify the Client as soon as possible via the WebSpiderMount (WSM) dashboard or/and via email and work
diligently to resolve the issue.

2.5. Additional Fees
Changes to the data delivery format or frequency may incur additional fees. These fees will be discussed and agreed upon
with the Client prior to implementation. Any additional charges will be clearly communicated and invoiced accordingly.

Term and cancellation
3.1. Term and Renewal
Your initial term of services will be specified in your Order Form, and unless otherwise specified in your
Order Form, your subscription will automatically renew successive monthly or yearly terms; provided, however, that
either party may terminate the agreement on the renewal date by giving written notice to the other party at least thirty
(30) days prior to the date that the agreement is scheduled to be renewed. Client has the right to terminate service
upon the anniversary date of the contract.

3.2 Notice of Non-Renewal
Unless otherwise specified in your Order Form, Client or ATL must give at least 30 days’ written notice of
non-renewal to prevent the renewal of the subscription.

3.3 Early Cancellation
Client may choose to cancel their subscription early at their convenience accepting that ATL will not provide
any refunds of prepaid fees or unused Subscription Fees, and Client will promptly pay all unpaid fees due through the
end of Client’s current contractual term (e.g. min account fees, etc.)

Suspension of service
4.1. Suspension for Prohibited Acts
We may suspend any User’s access to any or all ATL Services without notice for use of the scraped data in a way that
violates applicable local, state, federal, or foreign laws or regulations or the terms of this Agreement.

4.2 Suspension for Non-Payment
ATL will provide Client with notice of non-payment of any amount due. Unless the full amount has been paid, we may
suspend your access to any or all of the ATL Services ten (10) days after such notice. We will not suspend the ATL
Services while you are disputing the applicable charges reasonably and in good faith and cooperating diligently to
resolve the dispute. If ATL Services is suspended for non-payment, we may charge a re-activation fee to reinstate it.

Refund policy
5.1. No Refunds
All Fees paid under contract between the client and ATL are non-refundable. This includes but is not limited to, setup
fees, ongoing fees for services rendered, or any other charges incurred. Once a payment is processed, it cannot be
refunded under any circumstances.

5.2. Billing Cycle
Unless Client has a contract with annual payments, ATL services operate on a monthly billing cycle. Clients are billed
for services provided within the current month.

5.3. Acknowledgment of Non-Refundable Fees
By entering into a contract with ATL, Client acknowledges and agrees to the non-refundable nature of all Fees. This
policy is a fundamental term of our contract and is critical to the operation of our business.

5.4. Contractual Agreement
Client agrees that the non-refundable nature of the Fees is fair and reasonable in consideration of the services
provided. Client also acknowledges that they have reviewed and understood this refund policy before entering into the
contract and that this policy will remain in effect for the duration of the contractual relationship.

5.5. Exceptions
There are no exceptions to ATL’s refund policy. Refund requests will not be accommodated under any circumstances.
Clients are encouraged to thoroughly review the terms and conditions of their contract before making any payments.
